1. Introduction
This License Agreement (“Agreement”) is a legal agreement between you (“Licensee” or “you”) and Supaload (“Licensor”, “we”, or “us”) for the use of the Supaload software and services (“Software”). By using or accessing the Software, you agree to be bound by the terms of this Agreement.
2. Grant of License
Subject to your compliance with this Agreement, we hereby grant you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your internal business purposes. This license does not grant you any rights to distribute, sublicense, or modify the Software.
3. License Restrictions
You agree not to, and will not permit others to: 3.1 Reverse engineer, decompile, or disassemble the Software. 3.2 Remove or modify any proprietary notices or labels on the Software. 3.3 Use the Software for any purpose that is illegal or prohibited under this Agreement.
4. Ownership
The Software is licensed, not sold. Supaload retains all right, title, and interest in and to the Software, including any improvements, updates, modifications, and enhancements. No rights or licenses are granted to you except as expressly set forth in this Agreement.
5. Termination
This Agreement is effective until terminated. We may terminate this Agreement at any time if you breach any of its terms. Upon termination, you must cease all use of the Software and destroy all copies of it.
6. Disclaimer of Warranties
The Software is provided “as is” without warranty of any kind. We disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free or operate without interruptions.
7. Limitation of Liability
To the maximum extent permitted by law, Supaload shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to this Agreement or the use of the Software, even if we have been advised of the possibility of such damages.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Malaysia.
9. Changes to This Agreement
We reserve the right to modify this Agreement at any time. Any changes will be effective immediately upon posting the revised Agreement on our website. By continuing to use the Software after such changes, you agree to be bound by the revised Agreement.
